Terms of Service
The terms governing your access to and use of the Scrya platform.
Overview
Please read these Terms of Service ("Terms") carefully before using the Scrya platform. By accessing or using our crypto asset verification and compliance services, you agree to be bound by these Terms and our Privacy Policy.
Definitions
These Terms use the following key definitions:
- "Scrya" - Manus Ferrum Consulting Pty Ltd, an Australian proprietary company.
- "Platform" - the Scrya web application and APIs.
- "Service" - the verification and compliance tools we provide.
- "Verification Data" - wallet addresses and transaction metadata submitted to the Service.
- "Reports" - the outputs generated by the Service.
- "User" (or "you") - the individual or organisation accessing the Service.
Acceptance of Terms
You acknowledge your agreement to these Terms by creating an account or accessing the Service. If you are using the Service on behalf of an organisation, you warrant that you have authority to bind that entity to these Terms.
Eligibility
The Service is intended for financial professionals, compliance officers, accountants, legal practitioners, and other qualified business users. To use the Service you must be at least 18 years old, possess legal capacity to enter into these Terms, comply with applicable laws, and provide accurate information. Scrya reserves the right, at its discretion, to deny access.
User Accounts
Registration
You must provide accurate, current, and complete information and keep it updated.
Security
You are responsible for the confidentiality of your credentials, including using strong passwords, enabling multi-factor authentication, and immediately reporting any suspected unauthorised access. Scrya disclaims liability for account compromise resulting from user negligence.
Organisation Accounts
Designated administrators manage additional users, roles, permissions, and data access. The organisation is responsible for ensuring all of its users comply with these Terms.
Service Description
Scrya enables professionals to verify crypto holdings, generate compliance reports, monitor wallet patterns against risk indicators, and maintain auditable verification records.
The Service is a professional tool and does not constitute financial advice, legal advice, tax advice, or a substitute for independent compliance obligations.
Service Availability
Scrya commits to commercially reasonable efforts to maintain availability but does not guarantee uninterrupted or error-free operation.
Acceptable Use
You must comply with all applicable laws and these Terms. Prohibited activities include:
- Facilitating money laundering or illegal activity;
- Submitting false or misleading data;
- Reverse-engineering the Platform;
- Circumventing security features;
- Using automated access tools without authorisation;
- Unauthorised reselling of the Service;
- Damaging or disrupting infrastructure;
- Misrepresenting your identity or qualifications.
Scrya may immediately suspend access for violations.
Fees & Payment
Subscription Fees
Access to the Service requires a paid subscription billed in AUD, varying by plan, usage, and features.
Billing & Payment
Fees are charged monthly or annually in advance via third-party payment processors.
Late Payment
Non-payment within 14 days after the due date may trigger service suspension and 2% monthly interest (or the maximum permitted by law).
Price Changes
Scrya provides 30 days' notice of any fee increase. Continued use constitutes acceptance.
Refunds
Fees are generally non-refundable. If you cancel mid-cycle, you retain access through the end of the billing period. Scrya may issue refunds at its discretion in exceptional circumstances.
Intellectual Property
Scrya's IP
The Platform - including software, algorithms, interfaces, documentation, and branding - belongs exclusively to Manus Ferrum Consulting Pty Ltd or its licensors.
Limited Licence
You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for internal business purposes during your subscription term.
Restrictions
You may not copy, modify, distribute, sell, or lease any Platform components, or reverse-engineer source code.
Feedback
If you provide Scrya with suggestions, ideas, or feedback about the Service, you grant Scrya a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate that feedback into the Service without obligation to you.
Data Ownership & Licence
Your Data
You retain ownership of the verification data and content you submit.
Scrya's Licence
By submitting data, you grant Scrya a limited, non-exclusive licence to process, store, analyse, and display it solely to provide and improve the Service. This licence terminates upon data deletion or account closure, subject to retention obligations.
Aggregated Data
Scrya may create anonymised, de-identified datasets for analytics, research, benchmarking, and service improvement without restriction.
Privacy & Security
Our Privacy Policy governs how we handle data. Scrya implements industry-standard security measures to protect the Platform and your data, including encryption in transit and at rest, access controls, and regular security assessments.
However, no system is completely secure, and Scrya cannot guarantee that unauthorised access will never occur. You must ensure that data you submit does not violate third-party privacy rights and that you have legal authority to share client or counterparty information.
Third-Party Services
The Service integrates with third-party services governed by their own separate terms and policies. Scrya does not endorse, control, or assume responsibility for third-party content, accuracy, or practices.
Disclaimers
To the maximum extent permitted by Australian law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
Scrya does not warrant uninterrupted operation or the accuracy of Reports, and the Service does not provide financial, legal, tax, or regulatory compliance advice. All implied warranties, including merchantability and fitness for a particular purpose, are disclaimed where lawfully possible. Australian Consumer Law protections remain enforceable.
Limitation of Liability
Scrya's aggregate liability does not exceed the fees you paid in the preceding 12 months. Scrya is not responsible for indirect, incidental, special, consequential, or punitive damages - including lost profits, data loss, lost business opportunity, reputational harm, or regulatory penalties - regardless of whether it was advised of the possibility of such damages.
Scrya is not liable for decisions or actions taken based on Service outputs. These limits apply consistently with the Competition and Consumer Act 2010 and applicable state and territory legislation.
Indemnification
You agree to indemnify and hold Scrya, its officers, directors, employees, and agents harmless from claims, liabilities, damages, losses, costs, and expenses arising from: using the Service in violation of these Terms; breaching applicable law; submitting data that infringes third-party rights; or third-party claims arising from your use of Reports.
Termination
By You
You may cancel by emailing admin@scrya.io or through your account settings, effective at the end of the current billing period.
By Scrya
Scrya may immediately suspend access without notice if you breach these Terms; if legal requirements mandate it; if security risks or harm occur; if your account remains inactive; or if fees remain unpaid after notice.
Effects
On termination, access ceases immediately. Scrya retains your data for a maximum of 90 days for export, then deletes it per its retention policies. The sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.
Governing Law & Dispute Resolution
Governing Law
These Terms are governed by the law of New South Wales, without regard to conflict-of-laws principles.
Jurisdiction
Disputes are resolved exclusively in the courts of New South Wales.
Informal Resolution
Before commencing formal proceedings, the parties must contact admin@scrya.io and attempt good-faith resolution within 30 days.
Changes to These Terms
Scrya may modify these Terms periodically, posting updates with a revised "Last Updated" date and providing email or in-app notification for material changes. If you do not accept the changes, you must stop using the Service and cancel your subscription before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.
General Provisions
Entire Agreement
These Terms, the Privacy Policy, and your subscription forms constitute the complete agreement, superseding prior understandings.
Severability
Invalid or unenforceable provisions are modified minimally or severed, with the remaining provisions continuing in effect.
Waiver
Scrya's non-enforcement of any provision does not constitute a waiver. Only written, authorised waivers are effective.
Assignment
You may not assign these Terms without written consent. Scrya may assign them without restriction.
Force Majeure
Scrya is not liable for delays caused by events beyond its control, including natural disasters, war, terrorism, strikes, government actions, utility failures, or cyberattacks.
